В англоязычных источниках ICO расшифровывается как Initial Coin Offering; также встречаются названия token sale и coin sale.
Простое объяснение «ICO — это купить токен до начала обычной торговли» слишком грубое. У разных ICO совершенно разная экономическая сущность. Один token даёт только доступ к будущему сервису, другой используется для governance, третий может представлять экономическое право, четвёртый — почти ничего, кроме возможности transfer. Именно поэтому SEC/Investor.gov подчёркивает, что правовой режим digital-token offering зависит от конкретных фактов и обстоятельств, а FCA отмечает, что токены в ICO могут представлять очень разные права и что проекты часто находятся на ранней стадии.
Участник ICO несёт не один, а сразу несколько рисков. До запуска продукта он оценивает команду и обещания. До появления ликвидного рынка — возможность вообще продать token. До завершения vesting — будущую dilution. До deployment окончательного smart contract — технические и административные права issuer. А если token или offering попадает под финансовое регулирование, добавляется legal/compliance risk. Поэтому «цена ICO ниже будущей цены» не является достаточной инвестиционной гипотезой.
Особенно важно отделять ICO price от valuation. Если public sale продаёт token по 0,10 при fully diluted supply 10 млрд units, implied FDV составляет 1 млрд условных денежных единиц. Низкая цена одной монеты не делает проект дешёвым. Если одновременно в public sale обращается только 2% supply, market cap на старте может выглядеть маленькой, хотя будущая dilution огромна.

Что такое ICO в крипте простыми словами и чем оно отличается от IPO
ICO — первичная продажа цифрового актива
В классическом ICO issuer или проект предлагает coins/tokens участникам, чтобы привлечь средства для разработки сети, приложения, инфраструктуры или иной цели. Покупатель получает token сейчас либо право получить его после Token Generation Event.
Конкретный способ оплаты, claim и distribution зависит от условий sale.
Token sale и ICO часто используют как близкие термины

Как проходит ICO по шагам: от идеи до Token Generation Event
Шаг 1. Формируется экономическая модель проекта
Команда определяет, зачем вообще нужен token: network security, payment, access, governance, incentives, collateral or other function.
Если token можно удалить из продукта без потери функциональности, value thesis требует особенно строгой проверки.
Шаг 2. Определяется total и initial supply
Нужно решить, сколько units существует при genesis/TGE, может ли supply увеличиваться, кто имеет mint authority и какие allocations получают team, investors, treasury and community.
Supply design формирует future dilution.
Шаг 3. Создаётся allocation table
Проценты распределяются между public sale, private investors, founders, employees, ecosystem incentives, treasury, liquidity and advisors.
Красивый pie chart недостаточен без vesting schedule.
Шаг 4. Задаются vesting и cliff
Ранние участники могут получить токены не сразу, а частями. Cliff блокирует unlock до определённой даты, затем начинается linear or staged vesting.
Условия разных групп нужно сравнивать между собой.
Шаг 5. Определяется valuation каждого раунда
Seed round, strategic round, private sale и public ICO могут иметь разные цены.
Чем дешевле ранний round, тем больше потенциальная прибыль ранних holders даже при падении после public sale.
Шаг 6. Устанавливаются soft cap и hard cap

Allocation, vesting и cost basis: где скрывается главный риск ICO
Public allocation может быть очень маленькой
Проект способен продать public investors лишь несколько процентов total supply. Тогда ранний рынок имеет low float and high sensitivity to demand.
Маленькая circulating cap может маскировать огромный FDV.
Seed investors получают самую низкую цену

Цена одной монеты почти ничего не говорит
Token по 0,01 может быть дороже token по 100, если supply первого в тысячи раз больше. Unit price — деление aggregate valuation на количество units.
Низкая nominal price не является discount.
Implied FDV считается сразу на sale price
Если fully diluted supply 5 млрд и ICO price 0,20, implied FDV = 1 млрд. Это базовая проверка ещё до появления secondary market.
Сравните число с стадией продукта and comparable networks.
Circulating market cap на старте может быть искусственно маленькой
